On December 7, 2023, Microsoft held its annual meeting of shareholders online, due to the ongoing COVID-19 pandemic. The Microsoft annual meeting was attended by more than 10,000 shareholders, who voted on various proposals and asked questions to the company’s leadership.

Microsoft annual meeting recap

The Microsoft annual meeting began with a welcome message from John W. Thompson, the independent chair of the board of directors, who highlighted Microsoft’s achievements in the past year, such as its strong financial performance, its commitment to environmental sustainability, and its support for social justice and digital inclusion.

Next, Satya Nadella, the chief executive officer, delivered a keynote address, in which he shared his vision for Microsoft’s future. He emphasized the importance of building trust in technology, empowering every person and organization on the planet to achieve more, and creating a more diverse and inclusive culture at Microsoft. He also showcased some of the company’s latest innovations, such as Microsoft Loop, Windows 11, Azure, Microsoft 365, and Xbox.

Following Nadella’s speech, Amy Hood, the chief financial officer, presented the financial results for the fiscal year 2023, which ended on June 30, 2023. She reported that Microsoft had a revenue of $201.8 billion, an operating income of $82.9 billion, and a net income of $67.1 billion, all of which were record highs for the company. She also announced that the board of directors had declared a quarterly dividend of $0.75 per share, a 10% increase from the previous quarter, payable on March 9, 2024 to shareholders of record on February 15, 2024.

After Hood’s presentation, the meeting proceeded to the business items, which included the election of 12 directors, the ratification of the appointment of the independent auditor, the approval of the executive compensation, and the consideration of four shareholder proposals. All of the management proposals were approved by a majority of votes, while all of the shareholder proposals were rejected by a majority of votes.

The Microsoft annual meeting concluded with a Q&A session, in which shareholders submitted questions to the board of directors and the executive team. The questions covered a range of topics, such as Microsoft’s strategy, products, services, acquisitions, partnerships, competitors, customers, employees, shareholders, and stakeholders. The answers were provided by Nadella, Hood, Thompson, and other executives, who tried to address the shareholders’ concerns and expectations.
