Microsoft has scheduled a shareholder vote for December 10, 2024, to consider the possibility of investing in Bitcoin, despite the board of directors recommending against such action. This development, revealed in a recent filing with the U.S. Securities and Exchange Commission (SEC), has sparked debate about the role of cryptocurrencies in corporate treasury management.

“Assessment of Investing in Bitcoin”

The proposal, titled “Assessment of Investing in Bitcoin,” was introduced by the National Center for Public Policy Research, a conservative think tank associated with Project 2025. The organization argues that Microsoft’s current investments in corporate bonds barely outpace inflation, suggesting that Bitcoin could serve as “an excellent, if not the premier, hedge against inflation.”

However, Microsoft’s board of directors is urging shareholders to reject the proposal. In their recommendation, the board stated that the evaluation is unnecessary, as “Microsoft’s management is already diligently considering this issue.” The company asserts that its Treasury and Capital Management Services team routinely examines a wide range of investment opportunities to effectively diversify Microsoft’s assets and protect shareholders from inflation.

Microsoft further explained that this team has previously assessed Bitcoin and other cryptocurrencies as part of their ongoing evaluation process. The company emphasized its commitment to maintaining “robust and suitable procedures in place to manage and diversify its corporate assets for the long-term benefit of shareholders.”

Item 5: Microsoft board recommends shareholders vote against Bitcoin investment.

The proposal suggests that Microsoft should consider allocating even a small portion, such as 1%, of its assets to Bitcoin. This recommendation comes as other tech companies, notably MicroStrategy, have seen significant gains from their digital coin investments. MicroStrategy’s stock has surged by 250% over the past year, compared to Microsoft’s 16% increase.

Despite the board’s opposition, the scheduled vote reflects growing interest in cryptocurrency investments among traditional corporations. The outcome of this vote could have far-reaching implications for the broader adoption of Bitcoin as a corporate treasury asset.

Microsoft shareholders, including major stakeholders like Vanguard, BlackRock, and State Street, will have the opportunity to weigh in on this proposal. The vote comes at a time when the company’s market valuation exceeds $3 trillion, making any potential investment in digital coins a significant move in the financial world.

As the debate continues, industry observers are closely watching Microsoft’s approach to this emerging asset class. The company’s decision could influence other large corporations considering similar investments in the future.
